The legal obligation is as a legal bond under which a person, the debtor, is obligated to take certain action in behalf of another person. The creditor’s claim is that which constitutes the obligation of the debtor.

The general law of obligations remains applicable to all legal civil relationships barring divergent special provisions.

The law between merchants is subject to specific (more flexible) regulations in order to ensure dynamic economic transaction.
In certain cases an invoice that has not been protested to (in time) could serve as evidence for the existence of a legal relationship between two merchants.
